Cnooc’s $18bn bid for Canada’s Nexen won approval from US officials, paving the way for the completion of China’s largest foreign acquisition.

Tuesday’s approval from the Committee on Foreign Investment in the US, a multi-agency body that reviews large deals that could affect US security, gives Nexen “all of the requisite approvals to proceed to close”, the company said in a statement.

(Reuters) - U.S. regulators have approved the $15.1 billion takeover of Canadian oil and gas company Nexen Inc by China's state-owned CNOOC Ltd, removing the final obstacle to the Asian country's largest-ever foreign takeover.

The deal to buy Calgary, Alberta-based Nexen had already passed regulatory muster in Canada and Europe. But approval from the Committee on Foreign Investment in the United States (CFIUS) was also needed because Nexen has U.S. interests.

The U.S. approval came even though widespread distrust of U.S. investments by Chinese companies has lingered since CNOOC's 2005 attempt to buy Unocal Corp for $18.5 billion, a deal that foundered on U.S. national security concerns.

The Canadian government declined to comment on the U.S. approval. "That's a U.S. decision," Energy Minister Joe Oliver told reporters. "That company will, I'm sure, conduct themselves as good corporate citizens in Canada."

OIL SANDS RESERVES

The Nexen acquisition gives CNOOC new offshore production in the North Sea, the Gulf of Mexico and off western Africa, as well as producing properties in the Middle East and Canada.

In Canada, CNOOC gains control of Nexen's Long Lake oil sands project in the oil-rich province of Alberta, as well as billions of barrels of reserves in the world's third-largest crude storehouse.

Canada approved the takeover late last year even though some members of the governing Conservative Party had misgivings about China's human rights record.

But the federal government also insisted that CNOOC-Nexen was the last deal of its kind that it would approve, drawing a line in the sand against state-controlled companies taking majority stakes in Alberta's strategic oil sands.

U.S. approvals took longer as legislators examined whether the deal would threaten U.S. national security.

The United States has traditionally been more wary than Canada of Chinese investment, prompting some speculation that Washington might want Nexen to dispose of the U.S. assets.

Nexen released the news on a day when Washington was focused on President Barack Obama's State of the Union address, a nuclear test by North Korea, and deliberations in the Senate Armed Service Committee about a vote on Obama's pick for Secretary of Defense. In China, lunar New Year celebrations were in full swing.

Recently, China Classification Society (CCS) and Wärtsilä Services (Shanghai) Co., Limited signed a framework agreement for technical cooperation in Shanghai.
Both sides will carry out a comprehensive cooperation in such areas as ship design, ship power (including propulsion system), ship automation, environmental protection and energy saving technologies. The cooperation projects will mainly cover approval of new products, ship type design and development, development of rules and standards, cooperation on research projects, exchange of technical information, and cooperation on market. Both sides will prioritize the cooperation on research and development of LNG dual-fuelled ship types as well as development of technical standards for LNG dual-fuel engines and system arrangement.
Mr. Sun Feng, CCS Vice President, and Mr. Qiu Yi, Strategic Account General Manager of Wärtsilä China signed the agreement on behalf of the two organizations. Mr. Chen Shi, CCS Deputy Chief Engineer, Mr. Li Hua, General Manager of CCS Shanghai Branch, Mr. Han Jianfeng, President of Wärtsilä China, and a number of other guests attended the signing ceremony.

Another tough year is on the horizon for tanker owners as the market continues to struggle under the pressure of overcapacity. Global oil consumption only managed a timid growth in the fourth quarter of 2012, with global crude oil loadings increasing by 0.6%. OECD consumption shrank by 1.0%, despite US Gulf Coast refiners increasing imports of heavy crude from the Middle East Gulf by 2%. This contrasted with a 2.7% increase in non-OECD countries as weak US demand for light crude forced West African producers to export to eastern markets.
Tonnage demand in the tanker market increased 0.6% to 325 million dwt in the fourth quarter, and Drewry expects this to increase by 2.6% to 330 million dwt in 2013. However, 26.4 million dwt of fresh tonnage is due for delivery in 2013. The last quarter of 2012 saw the tanker fleet expand by 4.3 million dwt to reach over 412 million dwt.
Capacity expansion in the dirty tanker segment was faster than for clean tankers, at 3.4% compared with 2.5%. In both categories, almost all the additions took place in larger vessels segments such as VLCC, Suezmax and LR2. The fleet of smaller vessels shrank, suggesting that owners are being attracted to the economies of scale offered by larger vessels. Deliveries continue to outpace strong demolitions, which reached their second highest level for five years with over 11 million dwt demolished.
The orderbook has now shrunk to a mere 12% of the existing fleet, which suggests that the pace of supply growth will lose some steam after 2013. With less than 13 million dwt of tanker tonnage ordered in 2012, Drewry expects the tanker fleet to grow at relatively slower pace of about 3% CAGR during 2013-17, to 487 million dwt. This is down from 14.9 million dwt and 36 million dwt in 2011 and 2010 respectively.
A good recovery in tonnage demand is anticipated from 2014 onwards with a gradual improvement in the global economy and a corresponding increase in oil demand, particularly in Asia, the Middle East and Latin America. A gradual increase in average voyage length due to the shift in trading patterns should also result in higher tonnage demand for oil tankers.
Demand is forecast to rise steadily at about 5% a year through 2013-17, to about 405 million dwt. Tanker utilisation is thus expected to improve after 2013 as demand growth gathers steam and supply growth slackens, which should translate into improved earnings for owners.
